SVACR Rules of Governance

The Rules of Governance of the Silicon Valley Association of Conservative Republicans (SVACR) are for the distribution and the sole use of members of SVACR.  No member will distribute a copy of the SVACR Rules of Governance or Manual of Procedures without written approval of the Executive Committee.

ARTICLE I -NAME

The name of this organization shall be: SILICON VALLEY ASSOCIATION OF CONSERVATIVE REPUBLICANS hereinafter referred to as “SVACR or the ASSOCIATION”.

ARTICLE II – MISSION

SVACR is an independent, conservative organization committed to supporting and defending the principles of our Founding Fathers as written in the Constitution of the United States of America. Our mission is to help elect qualified conservatives to primarily Santa Clara County offices, and to educate and motivate our members to support Conservative principles.

ARTICLE III – ETHICS

All members of SVACR agree to abide by the Principles of Ethics established by the Board of Directors and published in the Manual of Procedures and Standing Rules.  A member who fails to adhere to these principles may be removed from membership.

ARTICLE IV – DUES

Section 1.            Annual dues shall be established by the Board of Directors.

Section 2.            Members will be notified 60 days prior to the renewal date for their membership.  Members who fail to renew their membership are considered delinquent and shall be removed from membership 30 days after the renewal date has passed.

ARTICLE V – OFFICERS

Section 1.            The ELECTED OFFICERS shall be President, 1st Vice-President, 2nd Vice-President, Recording Secretary, Corresponding Secretary, and Treasurer.

Section 2.            The EXECUTIVE COMMITTEE shall include the elected officers and the Immediate Past President.  The Parliamentarian shall serve on the EXECUTIVE COMMITTEE without the right to vote.

ARTICLE VI – MEETINGS

General monthly meetings of the Association shall be held at the time, place, and date determined by the Executive Committee.

ARTICLE VII – COMMITTEES

The Board of Directors may establish such committees as the Board deems necessary and appropriate.  Appointment of members to those committees is at the discretion of the President.

ARTICLE VIII – NOMINATIONS/ELECTIONS

Section 1:            At the October Annual Meeting of each odd-numbered year, the membership shall be notified of the proposed slate of officers.  Nominations from the floor will be accepted during the annual meeting. Where there is only one (1) candidate for an office, the election will be by acclamation.

Section 2:            Election shall be at the November general meeting in each odd-numbered year if there is more than one (1) Candidate for an office. Election shall be by ballot and a majority vote shall elect.

ARTICLE IX –DISSOLUTION

The Association shall use its funds only to accomplish the objectives and purposes specified in these Rules of Governance, Manual of Procedures or Standing Rules and no part of said funds shall inure or be distributed to any member of the Association.  If at any time this Association dissolves, any funds remaining shall be distributed by the current duly elected Executive Committee to organizations with a similar mission.

ARTICLE X—AMENDMENTS

These Rules of Governance may be amended at any general meeting of the ASSOCIATION by a two-thirds (2/3) vote of those present provided that the proposed amendments have been presented in writing 30 days prior to voting.

ARTICLE XI – CONFIDENTIALITY

Minutes, correspondence, and Board activity is the business of SVACR and is not for distribution to outside parties other than those authorized by the Executive Committee.  The names and contact information of members is for SVACR use only and not to be distributed to outside parties, other than those authorized by the Executive Committee.

ARTICLE XII – PARLIMENTARY AUTHORITY

Robert’s Rules of Order Newly Revised, (current edition) shall be the Parliamentary authority for this Association and shall be applicable in all cases where it does not conflict with the Rules of Governance, the Manual of Procedures, or Standing Rules.
